1. Acceptance of Terms

By accessing or using the Extend Global website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and clients of Extend Global.

2. Description of Services

Extend Global provides Employer of Record (EOR) and Agent of Record (AOR) services, enabling companies to hire employees and engage contractors in jurisdictions where they do not have a legal entity. Our services include, but are not limited to, employment contract management, payroll processing, tax compliance, benefits administration, and contractor management.

3. Client Obligations

As a client of Extend Global, you agree to:

• Provide accurate and complete information necessary for us to deliver our services
• Ensure timely funding of payroll and statutory contributions as required
• Comply with all applicable laws and regulations in your jurisdiction
• Not use our services for any unlawful purpose or in violation of any applicable regulations
• Maintain the confidentiality of your account credentials
• Promptly notify us of any changes that may affect the employment or contractor relationships we manage

4. Service Level and Availability

We strive to maintain high availability of our platform and services. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with reasonable advance notice. Service level commitments for enterprise clients are governed by separate Service Level Agreements (SLAs).

5. Fees and Payment

Service fees are outlined in individual client agreements. Our dual-layer billing system provides full transparency into statutory costs and service fees. Payment terms, currency, and invoicing schedules are specified in your service agreement. Late payments may incur additional charges as outlined in your contract.

6. Intellectual Property

All content on the Extend Global website, including text, graphics, logos, and software, is the property of Extend Global and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on our website without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, Extend Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services. Our total liability for any claim arising from these terms shall not exceed the fees paid by you to Extend Global in the twelve months preceding the claim.

8. Termination

Either party may terminate the service relationship in accordance with the terms specified in the service agreement. Upon termination, we will assist with the orderly transition of employees and contractors, including the transfer of employment records and final payroll processing, subject to applicable legal requirements.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
